Unity DevOps Additional Terms

Your use of the Unity DevOps Offerings is subject to these Additional Terms (the “DevOps Terms”), which supplement and incorporate the Unity Terms of Service. If you do not agree with these DevOps Terms, you are not authorized to use the DevOps Offerings in any manner.

Your subscription to use the DevOps Offerings may include or be bundled with certain Unity Offerings, standalone third party software and/or the right to add on other Unity Offerings. Access to such entitlements is subject to separate terms and conditions applicable to such entitlements (as stated in Unity Terms of Service, on Unity's Legal Information Page) and may incur additional fees.

1. Use Rights

The scope and limitations on the right and license to access and use the DevOps Offerings in Section 12.1 of the Unity Terms of Service are as follows:

1.1 General

You and your Authorized Users, if applicable, may use the DevOps Offerings solely for internal use to develop, share and distribute your User Content.

1.2 Unity Version Control (formerly Plastic SCM)

Unity Version Control On-Prem” means a version of Unity Version Control consisting of both server-side and client-side modules. Each subscription to use the on-prem version of Unity Version Control is configured by Unity and may be accessed and used by one (1) Authorized User on one (1) computer for the permitted purposes set forth in this Section 1. Notwithstanding the foregoing, the Unity Version Control client-side module may be installed on a second computer solely for use by the same Authorized User assigned that subscription. You may make additional copies of the Unity Version Control client-side and server-side modules as reasonably necessary for your use, provided that the total number of Authorized Users does not exceed the total number of users authorized by Unity and so designated in its systems.

1.3. Confidentiality

You or Unity (as the “Disclosing Party”) may disclose or make available Confidential Information to the other party (as the “Receiving Party”) in connection with these Terms. The Receiving Party agrees not to disclose the Disclosing Party’s Confidential Information to any third party without the Disclosing Party’s prior written consent, other than to the Receiving Party’s employees, agents and consultants who need to know such information to carry out the purposes contemplated by these Terms and who are bound in writing by restrictions regarding disclosure and use of such information comparable to and no less restrictive than those set forth herein.

The Receiving Party agrees to use at least the same degree of care to prevent unauthorized use and disclosure of Confidential Information as the Receiving Party uses with respect to its own confidential information of like importance (but in no event less than a reasonable degree of care).

The Receiving Party may use or disclose Confidential Information to the extent (a) approved by the Disclosing Party in writing or (b) the Receiving Party is legally compelled to disclose such Confidential Information provided, however, that, unless otherwise prohibited by law, prior to any such compelled disclosure, the Receiving Party shall give the Disclosing Party reasonable advance notice of any such disclosure and shall cooperate with the Disclosing Party in protecting against any such disclosure and/or obtaining a protective order narrowing the scope of such disclosure and/or use of the Confidential Information.

At any time at the Disclosing Party’s request, the Receiving Party shall promptly return to the Disclosing Party or destroy all materials (in written, electronic or other form) containing the Disclosing Party’s Confidential Information, including any copies and extracts thereof, and so certify in writing to the Disclosing Party. It is not a breach of the foregoing obligation to the extent the Disclosing Party’s Confidential Information is contained in an electronic file created pursuant to the Receiving Party’s routine backup or archiving procedures if such file is not capable of easy deletion and is not generally accessible beyond the need for disaster recovery or similar operations, provided however that such retained Confidential Information shall remain subject to the Terms until deleted by the Receiving Party in accordance with its internal procedures.

2. Unity Version Control Support

Unity Version Control Support” means any subscription to access support and maintenance services for Unity Version Control, which may include ongoing updates and upgrades to Unity Version Control or other DevOps Offerings.

2.1. Support Term

Your Unity Version Control Support subscription will remain in effect for the initial subscription period, and thereafter will automatically renew for additional, consecutive twelve (12) month periods at the then-current list price unless either party notifies the other of its intent not to renew at least ninety (90) days prior to the end of the current subscription period. Once a renewal subscription period commences, you may add to or upgrade the Unity Version Control Support you renewed, but you cannot remove, downgrade or cancel any renewed Unity Version Control Support. If you do not purchase the Unity Version Control Support for any period and wish to access the latest Unity Version Control Update or Upgrade, then you may be required to pay Unity an update fee.

2.2. Scope of Support

Unity Version Control Support will assist with queries regarding the installation and configuration of, faults in or problems concerning Unity Version Control. It includes:

  • Email support, with queries sent by email to: devops-vcs-support@unity3d.com
  • Communication in English and Spanish
  • Access to both the Unity and Plastic SCM online forums and FAQs

For all support requests submitted in accordance with Unity’s guidelines (as specified below), Unity will undertake commercially reasonable efforts to (a) acknowledge receipt of a support request from technical services personnel within two (2) business days, (b) provide a short status report to you within a reasonable time and (c) address the support request by providing a remedy (which may include demonstrating how to avoid the effects of any defect through your use of reasonable commercial efforts).

You acknowledge that, despite your and Unity’s reasonable efforts, not all problems for which you submit a support request may be resolvable. If ongoing investigation by Unity is required with respect to a particular support request, Unity will undertake commercially reasonable efforts to provide you with regular updates.

2.3. Your Support Responsibilities

You agree to provide the following information in connection with each support request: (a) full contact information (name, surname, company name, department, email and telephone number), (b) license or maintenance contract code and (c) a clear and specific description of the problem or query.

If you engage an authorized Unity partner for your first-level support, only that authorized partner (and not you) will send any support requests and inquiries to Unity.

2.4. Support Limitations

Unity’s obligation to provide you with Unity Version Control Support will extend only to you and to your Authorized Users who have active, valid Unity Version Control subscriptions throughout the term of your Unity Version Control Support. Fees paid for Unity Version Control Support do not include any travel expenses accumulated by the maintenance service.

Unity has no obligation to provide Unity Version Control Support for problems or issues in the operation or performance of Unity Version Control to the extent caused by either (a) third-party software or hardware products, including in conjunction with use of the DevOps Offerings or (b) your use of any of the DevOps Offerings (for clarity, including Unity Version Control) other than as authorized by Unity. To the maximum extent permitted by applicable law, Unity does not warrant or guarantee that any claimed or actual defects or malfunctions in Unity Version Control will be corrected. Unity Version Control Support will not assist with the installation or usage of any third-party products or services (including, for the avoidance of doubt, any product or tool that may be integrated with Unity Version Control or any Unity Offerings except for Unity Version Control.

3. Definitions

“DevOps Offerings” means, collectively, the developer service that comprises of components for the development and release of a Project and includes components known as Unity Version Control, Unity Build Automation, and any additional modules, materials, revisions, updates and/or upgrades, each as delivered to you by Unity for use with the DevOps Offerings.

“Unity Build Automation” (formerly Cloud Build) means Unity’s continuous integration tool for automatic generation of multiplatform builds.

“Unity Version Control” (formerly Plastic SCM) means Unity’s “on-prem” software and cloud service solutions that provide shared access, integration, communication, auditing, and information services for groups of your Authorized Users.
