Unity Teams Additional Terms

Your use of the Unity Teams Services (as further described below) is subject to these Additional Terms (the “Unity Teams Terms”), which supplement and incorporate the Unity Terms of Service. By accessing, purchasing or using the Unity Teams Services in any manner, you represent and affirm that you have read, understand and agree to be legally bound by and comply with these Unity Teams Terms. If you do not agree with these Unity Teams Terms, you are not authorized to use the Unity Teams Services in any manner.

1. Unity Teams Service Offerings

1.1 Unity provides cloud-based services, as well as software (e.g., SDKs, APIs and other binaries) in connection with your access to and use of such services, that allow you and your Users (i) to build and integrate services into Your Project Content for various supported target platforms, share builds for creating and improving Your Project Content, and to push builds to specific distribution partners where available; and (ii) to work collaboratively on and manage assets for Your Project Content (the “Unity Teams Services”).

1.2 Unity may offer various Unity Teams Services plans with different features and prices. You can find the terms and conditions of the plans on the current Unity Teams’ plan page(s) on the Site, including but any restrictions, limitations, and other distinguishable features of the plans. You should review and be aware of these plans and their details when selecting the best Unity Terms Services plan for you. There may be multiple pages describing different Unity Teams Services, so Unity recommends that you review all applicable Unity Teams’ plan pages.

1.3 In the event that the Unity Teams Service or Unity Teams Service plans are bundled with other Unity products and services (“Bundled Services”), these Unity Teams Terms will govern your use of the Unity Teams Service, unless provided otherwise in writing by Unity. Unless otherwise stated in writing by Unity, the Unity Teams Service will be activated at the time when you first activate any one of the Bundled Services. Unity reserves the right to make any changes to the Bundled Services at any time without notice.

2. Registration

2.1 In order to use the Unity Teams Service, you need a Unity Account (or other accounts as directed by Unity).

2.2 During any Unity Teams Services registration process, you may be required to provide certain information in addition to the information you provided when registering for your Unity Account.

2.3 You are responsible for maintaining the security of all logins, passwords, and other credentials issued to or created by you or your Users, or otherwise held by you or your Users applicable to the Unity Teams Services ("Credentials"). You are also responsible for any and all activities that occur on, through, or under Credentials or otherwise in connection Your Project Content or your accounts (including User accounts), whether undertaken by you or your Users; and you agree Unity is not responsible for any such activities. You acknowledge that this includes use of any service panel or other interface that allows for configuration, management, monitoring, and implementation of the Unity Teams Services. You also agree to notify Unity immediately of any unauthorized use of any such account(s) or Credentials, as well as any other security breach related to your account(s) (including User accounts), Credentials, or use of the Unity Teams Services.

3. Use Rights

3.1 Subject to your compliance with the terms and conditions of the Agreement, Unity grants to you a limited, worldwide, non-exclusive, non-transferable, non-sublicenseable, revocable, royalty-free license for you and your Users to use the Unity Teams Services and Unity Technology to develop, share, and distribute Your Project Content. The foregoing shall apply only so long as you have a current subscription to the Unity Teams Services and remain in compliance with these Unity Teams Terms.

3.2 By using the Unity Teams Services, you grant Unity a limited, worldwide, non-exclusive, transferable, sublicensable, irrevocable right to use, store, reproduce, distribute, and transmit Your Project Content and Team Content for the sole purpose of providing the Unity Teams Service. When you provide information about Your Project Content or Team, Content, including server URLs, credentials for source control access, application ID, locally-created builds, platform and provisioning files, you authorize Unity to use that for the purpose of providing the Unity Teams Service, including for automated polling of files to learn whether files have been updated, to determine if a new build should be initiated, or in connection with addressing support inquires.

3.3 You agree that neither you nor any of your Users will, either directly or indirectly, encourage or engage in any of the following prohibited activities:

(i) use “web crawlers”, bots, or other types of software or hardware technology to download automatically materials from the Unity Teams Services and Unity Technology other than via Unity Teams Services’ publicly supported interfaces;

(ii) accessing, searching, or attempting to use any part of the Unity Teams Services other than via Unity Teams Services’ publicly supported interfaces;

(iii) attempting to probe, scan, or test the vulnerability of any part of Unity Teams Services;

(iv) abusing referrals or promotions or other activity to get more entitlements than deserved--e.g. more storage or other features/functionality;

(v) attempting to circumvent any User or storage limits or other license, timing, or use restrictions associated with Unity Teams Services;

(vi) breaching, or attempting to breach, any security or authentication measures;

(vii) using Unity Teams Services to provide or assist any content delivery network functionality;

(viii) selling, reselling, renting, leasing, or otherwise supplying or providing access to any part of Unity Teams Services to third parties in contravention of the Terms of Service;

(ix) attempting to modify, copy, or create a derivative work of any part of Unity Teams Services;

(x) reverse engineering, disassembling, or decompiling any part of Unity Teams Services or attempting to derive the source code of any part of Unity Teams Services (except to the extent otherwise permitted by applicable law);

(xi) transmitting or storing personal or identifying data or information related to any individual or materials or content unrelated to Your Project Content;

(xii) using Unity Teams Services in any manner that would violate any law or any intellectual property or privacy/personality right of any person or party;

(xiii) attempting to interfere with or disrupt any network or computer system related to Unity Teams Services (e.g., through a virus or by overloading Unity’s network infrastructure);

(xiv) disclose the results of any benchmarking of the Unity Teams Services, without the prior written consent of Unity;

(xv) access Unity Teams Services or Unity Technology to develop or build a competitive product or service using similar ideas, features, functions, UI, or UX of Unity Teams Services;

(xvi) create Internet “links” to the Unity Teams Services or the Site that are not associated with, connected, or related to Unity Teams Services or the Site; or

(xvii) using Unity Teams Services in any way that results in a violation of the Terms of Service applicable to you, including restrictions on the combination or integration of Your Project Content developed with one tier of the Unity Software with any of Your Project Content developed with another tier.

You acknowledge that Unity reserves the right to immediately suspend or terminate you and your Users’ ability to access and use the Unity Teams Services in the event you or any of your Users violate any of the foregoing restrictions.

4. Testing

4.1 Unity may offer Unity Teams Services that allow you to test Your Project Content. You will be solely responsible for all services, processes, and methods associated with testing Your Project Content, including engaging all parties, individuals, and entities who will provide testing services on the Your Project Content, and all data, materials, and information derived, generated, and associated with the testing.

4.2 All testers will be subject to the terms and conditions of these Unity Teams Terms, and you will certify that such testers have previously agreed to be bound by terms and conditions substantially similar to those of these Unity Teams Terms.

5. Promotions

Unity reserves the right, at its sole discretion, to modify, suspend, or discontinue any promotions, campaigns, discounts, or any other advertisements (collectively and separately, “Promo(s)”) that promote the Unity Teams Services, Bundled Services, and/or any of its plans and features. Unity encourages you to review all terms and conditions of the Promos to ensure that you are able to take full advantage of them.

6. Changing Your Plan (Upgrading or Downgrading Your Plan)

You may have the opportunity to upgrade or downgrade your plan, depending on your plan's billing cycle. Unless otherwise stated by Unity, any change to your plan (upgrading or downgrading) will take effect upon the next billing cycle of your new plan. By way of example, if you select a monthly plan, the change to your plan will take effect the next month billing cycle.

7. Responsibilities; Disclaimers; Limitation of Liability

7.1 You understand that you must evaluate and bear all risks associated with you and your Users’ use of Unity Teams Services. Without limitation of the foregoing, in the event a User is deemed by Unity to have violated these terms or used the Collaborate Service in a manner that creates liability for Unity, you agree to suspend or terminate that User’s access to Your Project Content and the Collaborate Service upon Unity’s request.

7.2 Any third party software combined with Unity Teams Services and Unity Technology is solely your responsibility and/or the responsibility of the third party providing such software.

7.3 You shall be administratively and financially responsible for obtaining any release, consent, license, or other right (collectively “Consents”) required for Unity to access, copy, modify, and compile the source code or other materials and tools provided by you, Team Content, and Your Project Content. Any costs associated with obtaining Consents are not included in the fees and are the sole responsibility of you.

7.4 YOU ARE RESPONSIBLE FOR MAINTAINING AND BACKING UP ANY CONTENT OR OTHER DATA YOU STORE VIA THE SERVICE.

WITHOUT LIMITATION OF THE FOREGOING, YOU UNDERSTAND AND AGREE THAT UNITY IS NOT RESPONSIBLE FOR, AND MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND IN RESPECT OF, ANY THIRD-PARTY SERVICES OFFERED IN CONNECTION WITH UNITY TEAMS SERVICES, INCLUDING ANY FEATURE WHICH PERMITS YOU OR USERS TO SUBMIT BUILDS OF YOUR PROJECT CONTENT AND/OR TEAM CONTENT TO ANY SOFTWARE DISTRIBUTION PLATFORM/STORE (“STORE”); AND FURTHER THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THE TERMS OF SERVICE APPLY IN RESPECT OF UNITY’S MAKING AVAILABLE SUCH THIRD-PARTY SERVICES IN CONNECTION WITH UNITY TEAMS SERVICES.

BY CLICKING “SUBMIT”, “PUSH TO STORE”, OR SUCH OTHER LIKE INDICATION, YOU AGREE TO UNITY PROVIDING THE RELEVANT BUILD(S) TO THE INDICATED STORE(S) AS WELL AS THE PROVISION OF ANY DATA TO THE STORE PROVIDER NECESSARY TO ACHIEVE THE SUBMISSION AND PUBLICATION BY OR THROUGH THAT STORE PROVIDER, INCLUDING DATA CONCERNING ANY USERS AS APPLICABLE. IN THIS CONNECTION, YOU REPRESENT AND WARRANT THAT YOU HAVE ALL NECESSARY RIGHTS TO AGREE TO THE PROVISION OF THAT DATA.

YOU OR USER’S USE OF SUCH THIRD-PARTY SERVICES IS AT YOUR OWN RISK. YOU SHOULD REVIEW AND UNDERSTAND, AND REPRESENT AND WARRANT THAT YOU WILL CAUSE USERS TO REVIEW AND UNDERSTAND, ANY TERMS AND CONDITIONS CONCERNING ANY SUBMISSION TO, AND ANY USE OF, SUCH THIRD-PARTY SERVICES, INCLUDING WITH RESPECT TO DATA PRIVACY.

8. Account Termination

8.1 If you wish to have your Unity Teams Services account permanently terminated, you may submit a support ticket at support.unity3d.com or email Unity at support@unity3d.com and request that your account be permanently terminated. Unity will then delete your account following such request. Thereafter you will no longer have access to your account or any Team Content, so you may want to make your own backup files of Team Content before requesting termination of your account.

8.2 You understand and acknowledge that you and your Users’ ability to access and use your Unity Teams Services account, Unity Teams Services, and Team Content will cease once your Unity Teams Services account or your Unity Account is terminated or suspended and Unity may immediately delete Team Content at such time. Unity will not be liable to you or any third party in connection with any such termination or the deletion of Team Content. Deletion of your Unity Teams Services account will not delete your Unity Account or other Unity service accounts. Furthermore, Unity will have no obligation to maintain any information stored in our databases related to your Unity Teams Services account.

9. Feedback

You are not required to provide Feedback to us, but in the event you do so, Unity will own the Feedback. You irrevocably assign to Unity all right, title and interest (including all intellectual property and proprietary rights) in and to any Feedback, which Unity, its affiliates and licensees may exploit without restriction.

10. Definitions

Feedback” as used in these Unity Teams Terms means any suggestions or other feedback you provide to Unity or its affiliates regarding improvements to or additional features or functionality for the Unity Teams Services, including suggestions and feedback you post to the Site or other forums or properties owned or maintained by Unity.

Team Content” means Your Project Content and all computer files, text, graphics, images, music, audio, video, information, data and other materials or content that you or any of your Users upload, store, or transmit to the Unity Teams Service in connection with Your Project Content.

Users” as used in these Unity Teams Terms means you, your employees, your contractors, and any others whom you affiliate with any of Your Project Content as permitted in the Unity Teams Services and in accordance with your plan.

Your Project Content” means games, applications, software or other content that you develop with the Unity Software.
